1. About these Terms
These Terms and Conditions (Terms) govern access to and use of QX Web, including the website at qxweb.com.au, public business listings, search and comparison features, enquiry forms, business accounts, business portal features, claim and edit tools, paid products, advertising placements, subscription features, communications and any related services we make available from time to time (collectively, the Platform).
The Platform is operated by Qixin Co Pty Ltd (ABN 75 671 782 540), trading as QX Tech (QX Web, QX Tech, we, us or our).
By accessing or using the Platform, creating an account, claiming or editing a business profile, submitting an enquiry, purchasing a paid service or otherwise interacting with QX Web, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
These Terms should be read together with our Privacy Policy, Cookie Policy, Accessibility Statement, any pricing page, order form, subscription terms, advertising package terms, lead package terms or additional terms we present to you when you use a particular product or service.
2. Platform purpose and role
QX Web is a business service provider discovery platform. It helps users discover, compare and contact Australian business service providers and related business resources, including companies, sole traders, individual professionals, freelancers, creators, agencies and other providers where available.
Unless expressly stated otherwise, QX Web is not itself the provider of the services listed on the Platform. We do not generally provide accounting, legal, migration, financial, marketing, real estate, shipping, IT, creative, contractor, creator or other third-party services listed by providers on the Platform.
QX Web is not a party to any agreement or arrangement entered into between a user and a listed business, provider, advertiser, professional, creator, freelancer or other third party. Any transaction, quotation, advice, service engagement, contract, payment, dispute, cancellation, refund, complaint or legal obligation arising between users and providers is a matter between those parties, unless QX Web expressly agrees otherwise in writing.
3. Definitions
In these Terms:
- Business, provider or service provider means a company, sole trader, individual professional, freelancer, creator, agency, advertiser or other person or entity listed on, claiming, editing, advertising through or receiving enquiries through the Platform.
- Business User means a person who creates an account, claims, edits, manages, advertises or otherwise acts on behalf of a business or provider.
- Content means text, images, logos, business descriptions, service information, contact details, reviews, documents, data, tags, profile information, messages, enquiries, files, links, comments, feedback and other material submitted, uploaded, provided, displayed or made available through the Platform.
- Enquiry means information submitted by a user through the Platform indicating interest in contacting, comparing or receiving services from a business or provider.
- Paid Service means any paid subscription, featured placement, verified or enhanced profile, local boost, advertising package, lead package, agency tool, creator directory access, business portal feature or other paid product or service offered by QX Web from time to time.
- User, you or your means any person who accesses or uses the Platform, including visitors, consumers, business representatives, providers, advertisers, account holders and Business Users.
4. Eligibility and authority
You may use the Platform as a visitor to search for information and submit enquiries. If you create an account, claim a business, manage a profile, purchase a Paid Service or submit information on behalf of a business, you represent and warrant that:
- you are at least 18 years old, or you have the consent and supervision of a parent, guardian or authorised representative where required;
- you have the legal capacity to enter into these Terms;
- you have authority to act on behalf of the relevant business or provider;
- all information you provide is true, accurate, current, complete and not misleading;
- your use of the Platform complies with all applicable laws, regulations, industry rules, professional obligations and third-party rights.
QX Web may request evidence of your identity, authority, business relationship, ownership, employment, agency, licence, registration or other supporting information before allowing you to claim, edit, remove, advertise or manage a business profile.
5. Accounts and security
You may need to create an account to claim or manage a business profile, use business portal tools, access paid features or perform other actions on the Platform.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. You must promptly notify us if you suspect unauthorised access, misuse, a security breach or an error in your account information.
We may suspend, restrict or terminate an account if we reasonably believe that the account is inaccurate, unauthorised, fraudulent, inactive, misused, associated with a dispute, associated with a business you are not authorised to manage, or otherwise used in breach of these Terms.
6. Business listings and public information
QX Web may create, display, organise, update and publish business listings using information provided by users, businesses, public sources, business websites, public registers, business directories, search results, social media pages, ABN-related sources where available, manual research, data suppliers and other sources we consider relevant.
Business listings may include business name, ABN, ACN, trading name, address, suburb, city, state, contact phone number, email address, website, social links, business description, services, languages, service areas, images, logos, profile status, verification status, claim status, advertising status, last updated or last confirmed dates and other business profile information.
You acknowledge that some business listing information may be publicly available information or business contact information. However, where a business is operated by a sole trader, individual professional, creator, freelancer, broker, agent or similar person, some business profile information may also be personal information.
We aim to provide useful business discovery information, but we do not guarantee that any listing is complete, current, accurate, available, suitable, lawful, verified, endorsed, safe, licensed, insured, qualified or appropriate for your needs.
QX Web may edit, format, categorise, translate, tag, moderate, enrich, combine, remove, suppress, noindex, unpublish or otherwise manage business listings at our discretion to improve platform quality, reduce duplication, comply with law, manage risk, improve search experience or protect users and the Platform.
7. Claiming, editing and removing business profiles
A business representative may request to claim or manage a business profile. QX Web may approve, refuse, review, reverse or revoke a claim request at our discretion, including where authority cannot be verified or where there is a competing claim.
If you claim or edit a business profile, you must ensure that the information you submit or approve is accurate, current, complete, lawful, not misleading, not deceptive and not infringing any third-party rights.
QX Web may review edits before or after publication. We are not required to publish every edit, and we may reject or modify edits that appear inaccurate, promotional, spam-like, misleading, excessive, unlawful, irrelevant, harmful, low quality, inconsistent with our formatting standards or otherwise unsuitable for the Platform.
A business representative may request that a business profile be removed or unpublished. We may ask you to verify your authority before processing the request. We may remove, unpublish, suppress or limit public display of the profile at our discretion. We may retain certain records where required or permitted by law, for security, audit, accounting, billing, dispute resolution, compliance, fraud prevention, platform integrity, backup or legitimate business purposes.
Removal or unpublishing of a profile may not immediately remove cached search results, third-party references, screenshots, analytics records, backups or information already indexed or copied by search engines or third-party services outside our control.
8. Verification, claimed status and profile labels
QX Web may use labels such as claimed, verified, featured, sponsored, local boost, recently confirmed, accepts enquiries or similar labels to help organise and describe business listings. These labels may be based on business actions, QX Web review, public information, payment status, advertising arrangements, data quality, profile completeness, claim status, recency of confirmation or other criteria determined by QX Web.
Unless expressly stated otherwise, a verification, claim, confirmation or profile label does not mean that QX Web guarantees the provider's identity, qualifications, licences, insurance, reputation, service quality, availability, pricing, legal compliance, financial stability, performance, results or suitability.
A featured, sponsored or paid placement is a promotional or advertising placement and should not be interpreted as an independent ranking, endorsement, recommendation, guarantee or assessment of service quality. We may change how paid and organic listings are displayed, labelled, ordered or ranked from time to time.
9. Enquiries and communications with providers
Users may submit enquiries through contact forms or other communication features on the Platform. When you submit an enquiry, QX Web receives and processes the information you provide. We may notify the relevant business or provider that an enquiry has been made and may facilitate communication between you and that provider through email, portal messaging, system notifications or other platform features.
At this stage, enquiries may not be sent directly from the user to the provider. QX Web may send communications to providers on behalf of the Platform, including notifications that a user has made an enquiry. In the future, QX Web may provide portal messaging, lead management or other communication tools.
Where necessary to respond to your request, where you authorise us to do so, where a feature you use requires it, or where otherwise permitted by law, we may share relevant enquiry details with the relevant provider or selected relevant providers.
QX Web does not guarantee that a provider will receive, read, respond to, accept, quote, perform or complete any enquiry. QX Web is not responsible for a provider's response time, advice, quote, communication, conduct, pricing, service quality or failure to respond.
You must not submit false, abusive, unlawful, misleading, spam, malicious, discriminatory, harassing, offensive, irrelevant or unauthorised enquiries. You must not submit sensitive personal information, confidential information, financial details, health information, legal instructions or other highly sensitive material unless strictly necessary and appropriate for the service you are requesting.
10. Recommendations, leads and provider matching
QX Web may in the future offer features that allow users to request recommendations, compare providers, receive suggested providers, or allow QX Web to share an enquiry with additional relevant providers. These features may be optional, may be subject to further terms and may require user consent or additional notices at the point of use.
Any recommendation, matching, ranking or suggested provider feature is provided for convenience only. It does not constitute professional advice, an endorsement, a guarantee of quality, a representation that a provider is the best or cheapest option, or a promise that the provider will be suitable for your needs.
Providers may pay QX Web for advertising, enhanced visibility, leads, subscriptions, access to tools or other commercial arrangements. QX Web may take these arrangements into account when displaying, routing or offering certain commercial features, subject to applicable laws and platform policies.
11. Paid Services, subscriptions and advertising products
QX Web may offer Paid Services from time to time, including business profile upgrades, verified or enhanced profile features, featured or sponsored placements, local boosts, advertising packages, lead packages, subscriptions, business portal tools, creator or freelancer directory access, reporting tools and other commercial products.
The features, availability, pricing, inclusions, limits, ranking treatment, display rules, duration, renewal terms and cancellation rules for Paid Services may vary by product, industry, location, campaign, package, customer, promotional offer or time period. The details shown at checkout, in an order form, invoice, subscription confirmation, pricing page or written agreement will apply to the relevant purchase.
Unless expressly stated otherwise, purchasing a Paid Service does not guarantee any particular number of impressions, clicks, leads, enquiries, sales, customers, search rankings, Google rankings, AI search references, revenue, conversion rate, business outcome or return on investment.
QX Web may refuse, suspend, restrict, cancel, change or remove a Paid Service if the relevant profile, content, business, industry, payment, account, advertisement or use of the Platform is unsuitable, unlawful, misleading, in breach of these Terms, associated with complaints, associated with chargebacks, damaging to platform trust, or otherwise inappropriate in our reasonable opinion.
12. Trials, promotions and recurring billing
QX Web may offer trials, introductory pricing, promotional offers or discounted periods, such as a low-cost first month or initial period followed by a standard recurring price. Any such offer will be subject to the specific terms displayed at the time of purchase or agreed in writing.
If a Paid Service renews automatically, we will aim to disclose the renewal price, billing frequency, trial period, renewal date and cancellation method at or before purchase. By purchasing a recurring Paid Service, you authorise us or our payment processor to charge the applicable payment method for recurring fees until the subscription is cancelled in accordance with the applicable terms.
You are responsible for cancelling a recurring Paid Service before the relevant renewal date if you do not wish to continue. We may provide reminders, but we are not responsible for your failure to cancel before renewal where the renewal terms were disclosed and the cancellation method was available.
If payment fails, we may retry payment, suspend the Paid Service, downgrade the profile, remove paid placement, restrict access to paid features, charge late or recovery costs where permitted, or terminate the subscription.
13. Payments, taxes, refunds and chargebacks
Prices may be stated in Australian dollars unless otherwise indicated. Prices may be exclusive or inclusive of GST depending on how they are displayed. You are responsible for any applicable taxes, duties, bank charges, currency conversion charges, card charges or payment processing charges associated with your purchase.
Payments may be processed by third-party payment processors such as Stripe or other providers. QX Web does not intend to store full credit card details. Payment processors may collect and process payment information in accordance with their own terms and privacy policies.
Except as required by law or expressly agreed in writing, fees for Paid Services are non-refundable, including where you do not receive expected enquiries, clicks, leads, sales, rankings, business outcomes or return on investment. Nothing in these Terms limits any rights you may have under the Australian Consumer Law or other applicable laws that cannot be excluded.
If you dispute a payment, request a chargeback or reverse a transaction without first giving us a reasonable opportunity to resolve the matter, we may suspend or terminate the relevant account, listing or Paid Service while the matter is investigated.
14. User Content and licence to QX Web
You are responsible for all Content you submit, upload, provide, approve, publish or make available through the Platform.
You grant QX Web a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to use, host, store, reproduce, display, publish, distribute, communicate, modify, adapt, translate, categorise, tag, format, index, analyse, promote and otherwise use your Content for the purposes of operating, improving, promoting, securing and providing the Platform and related services.
This licence continues for as long as necessary for QX Web to operate the Platform, maintain records, comply with law, resolve disputes, manage backups, support search indexing and continue displaying business listings or related platform content, unless and until the relevant Content is removed in accordance with our policies and applicable law.
You represent and warrant that you have all rights, licences, consents and permissions necessary to submit the Content and grant the licence above, and that your Content does not infringe any intellectual property, privacy, confidentiality, moral, consumer, advertising, employment, professional, regulatory or other rights or laws.
15. Prohibited conduct
You must not use the Platform to:
- submit false, inaccurate, misleading, deceptive, outdated or unauthorised information;
- claim, edit, remove or manage a business profile without authority;
- impersonate another person, business, provider or representative;
- scrape, harvest, copy, bulk download, mine, index, crawl or extract Platform data except with our prior written consent or as permitted by law;
- send spam, unsolicited bulk messages, phishing messages, malware, harmful code or abusive communications;
- interfere with the security, availability, performance, operation or integrity of the Platform;
- attempt to bypass access controls, payment systems, rate limits, robots.txt, authentication, verification or technical restrictions;
- use the Platform for unlawful, fraudulent, misleading, discriminatory, exploitative, harmful, defamatory, harassing, obscene, offensive or abusive purposes;
- publish or promote services that require licences, registrations, permits or compliance obligations without holding and maintaining those requirements;
- use QX Web leads, enquiries or contact details for unrelated marketing, resale, spam, list building or purposes not authorised by the relevant user or by QX Web;
- make claims about guaranteed results, rankings, returns, migration outcomes, legal outcomes, financial outcomes, investment returns, health outcomes or other regulated services in a manner that is misleading or unlawful;
- damage the reputation, trust, safety, data quality, user experience or commercial interests of QX Web.
16. Provider obligations
If you are a provider or Business User, you are solely responsible for your services, qualifications, licences, registrations, insurance, pricing, quotes, contracts, advice, communications, availability, staff, contractors, subcontractors, tax obligations, superannuation obligations, employment obligations, workplace obligations, consumer law obligations, professional obligations and dealings with users.
You must not use QX Web to avoid legal obligations, misrepresent the nature of a working relationship, promote sham contracting, offer unlawful commission-only arrangements, make misleading claims about earnings or opportunities, or engage in conduct that may breach employment, workplace, consumer, professional, licensing, migration, financial services, real estate, credit, privacy, spam or other applicable laws.
If your services are regulated, you must ensure that your profile and communications accurately identify any required licences, registrations, authorisations or limitations. QX Web is not responsible for verifying every licence, registration or claim made by providers.
17. Reviews, ratings and user feedback
QX Web may introduce reviews, ratings, feedback, testimonials, complaints, moderation tools or reporting tools in the future. If available, these features may be subject to additional rules.
QX Web may moderate, remove, refuse, hide or edit reviews or feedback that appear fake, incentivised, defamatory, abusive, irrelevant, misleading, unlawful, promotional, low quality, in dispute, or otherwise inconsistent with platform trust and safety.
Reviews or ratings, where available, represent user opinions only and do not constitute QX Web endorsement, advice or verification.
18. Intellectual property
The Platform, including its design, layout, interface, software, source code, database structure, compilation, taxonomy, category structure, content selection, logos, trade marks, business name, trading name, text, graphics, icons, ranking systems, data organisation, reports and other materials, is owned by or licensed to QX Web and is protected by intellectual property laws.
You must not copy, reproduce, modify, adapt, translate, publish, communicate, distribute, sell, license, reverse engineer, extract, scrape, frame, mirror, commercially exploit or create derivative works from the Platform or its content except as permitted by these Terms, by law or with our prior written consent.
Nothing in these Terms transfers ownership of QX Web intellectual property to you.
19. Third-party websites, services and information
The Platform may include links to third-party websites, business websites, social media pages, maps, payment processors, analytics tools, cloud services, public registers or other external services. These third parties are not controlled by QX Web.
We are not responsible for the content, accuracy, availability, security, privacy practices, terms, products, services, advice or conduct of any third party. You access third-party websites and services at your own risk.
20. Artificial intelligence and automated tools
QX Web may use automated tools, including artificial intelligence, machine learning, rules-based systems or data processing tools, to help organise listings, enrich data, detect spam, improve search, suggest categories, recommend relevant providers, support customer service, analyse platform usage or improve platform quality.
Automated tools may produce errors, omissions, outdated information or unsuitable suggestions. We do not guarantee that automated outputs are complete, accurate, current, unbiased, suitable or appropriate for any particular purpose.
We do not currently use automated tools to make decisions that have a legal or similarly significant effect on individuals. If this changes, we may update these Terms, our Privacy Policy or provide additional notices where required.
21. Privacy and cookies
Our collection, use, disclosure and handling of personal information is described in our Privacy Policy. Our use of cookies, analytics and similar technologies may be described in our Cookie Policy or related notices.
By using the Platform, you acknowledge that QX Web may collect and handle information in accordance with the Privacy Policy and applicable laws. You must not submit personal information about another person unless you have authority or consent to do so, and the information is accurate and appropriate for the relevant purpose.
22. Availability, changes and platform operation
We aim to operate a useful and reliable Platform, but we do not guarantee that the Platform will be uninterrupted, error-free, secure, available at any particular time, compatible with every device or browser, or free from defects, delays, outages, data loss, cyber incidents or technical issues.
We may modify, suspend, restrict, remove, replace, discontinue, rename, reorganise or change any part of the Platform, including features, listings, categories, search functions, ranking systems, pricing, packages, subscription features, portal tools, display rules, eligibility requirements or commercial products, at any time.
We may perform maintenance, updates, data cleaning, migrations, security improvements, feature changes or emergency actions without prior notice where reasonably necessary.
23. Disclaimers
To the maximum extent permitted by law, the Platform and all information, listings, search results, comparisons, labels, recommendations, contact forms, analytics, reports and related services are provided on an "as is" and "as available" basis.
QX Web does not make any warranty or representation that:
- business listings are complete, accurate, current, verified, lawful, suitable or reliable;
- providers are licensed, insured, qualified, reputable, solvent, available or appropriate for your needs;
- users will receive responses, quotes, services, leads, enquiries, sales, clicks, impressions, rankings or business outcomes;
- paid placements, verified profiles, local boosts or advertising packages will produce any particular commercial result;
- the Platform will improve Google rankings, AI search visibility, search engine visibility, conversion rates or revenue;
- the Platform will remain available or unchanged;
- any provider recommendation, ranking, label, tag, category or search result is independent advice or a guarantee of suitability.
You are responsible for making your own enquiries, checking provider credentials, verifying licences, reading provider terms, assessing risk, obtaining professional advice where appropriate and deciding whether to engage any provider.
24. Australian Consumer Law and non-excludable rights
Nothing in these Terms excludes, restricts or modifies any consumer guarantees, statutory rights, warranties or remedies that cannot be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.
Where we are permitted to limit our liability for a breach of a non-excludable guarantee in relation to services, our liability is limited, at our option and to the extent permitted by law, to supplying the services again or paying the cost of having the services supplied again.
25. Limitation of liability
To the maximum extent permitted by law, QX Web and its officers, employees, contractors, agents, suppliers and related entities are not liable for any indirect, consequential, incidental, special, punitive or exemplary loss, loss of profit, loss of revenue, loss of goodwill, loss of opportunity, loss of data, loss of business, loss of reputation, loss of anticipated savings, business interruption, third-party claim, or any loss arising from your dealings with providers, users or third parties.
To the maximum extent permitted by law, QX Web's total aggregate liability arising out of or in connection with the Platform, these Terms or any Paid Service is limited to the greater of:
- the amount you paid to QX Web for the relevant Paid Service giving rise to the claim during the three months before the event giving rise to liability;
- AUD $100, where you have not paid QX Web for a relevant Paid Service.
This limitation applies whether the claim arises in contract, tort, negligence, statute, equity, restitution or otherwise, except to the extent it cannot lawfully apply.
26. Indemnity
You indemnify QX Web and its officers, employees, contractors, agents, suppliers and related entities from and against any loss, liability, claim, demand, damage, cost or expense arising out of or in connection with:
- your breach of these Terms;
- your Content;
- your use or misuse of the Platform;
- your claim, edit, removal request or management of a business profile;
- your services, advice, quotes, communications or dealings with users or providers;
- your breach of law, regulation, professional obligation, licence condition or third-party right;
- any allegation that your Content or services are misleading, unlawful, infringing, defamatory, negligent, harmful or otherwise actionable;
- any dispute between you and another user, provider, customer, contractor, employee, agency, advertiser or third party.
Your indemnity is reduced to the extent the relevant loss is directly caused by QX Web's fraud, wilful misconduct or breach of law.
27. Suspension, termination and enforcement
We may suspend, restrict, remove, downgrade, hide, noindex, terminate or refuse access to any account, listing, Content, enquiry, Paid Service, advertising placement or feature if we reasonably believe that:
- you have breached these Terms or another applicable policy;
- the information is inaccurate, misleading, unauthorised, unlawful, low quality or harmful;
- your account, profile, payment or activity poses a risk to users, providers, QX Web or platform trust;
- there is a dispute, complaint, chargeback, fraud concern, security concern or competing claim;
- you have failed to pay amounts owing;
- continued access may expose QX Web to legal, reputational, commercial, operational or security risk;
- we are required or permitted to do so by law or a regulator.
Termination or suspension does not affect any accrued rights, payment obligations, licence rights, disclaimers, limitations of liability, indemnities or provisions that by their nature should survive termination.
28. Complaints, corrections and disputes with providers
If you believe a business listing is inaccurate, unauthorised, misleading or otherwise inappropriate, you may contact us at info@qxweb.com.au. We may ask for supporting information and may decide, at our discretion, whether to update, annotate, remove, suppress, noindex or take no action in relation to the listing.
If you have a dispute with a provider, you should first contact that provider directly. QX Web may, but is not required to, assist with communication, review a listing, suspend features or take other platform actions. QX Web is not responsible for resolving disputes between users and providers unless we expressly agree in writing.
29. Notices and communications
We may communicate with you by email, portal notifications, website notices, account messages or other contact details you provide. You are responsible for keeping your contact details up to date.
Service-related communications may include account notices, profile notices, enquiry notifications, claim notices, security notices, billing notices, subscription notices, platform updates and policy updates. Marketing communications may be sent where permitted by law and may include unsubscribe or opt-out options where required.
30. Changes to these Terms
We may update these Terms from time to time. The updated Terms will be posted on the Platform with a new last updated date. Where changes are material and reasonably affect existing paid arrangements, we may provide additional notice by email, portal notification or other reasonable means.
Your continued use of the Platform after updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Platform and cancel any Paid Service where applicable.
31. General
If any provision of these Terms is invalid, unlawful or unenforceable, that provision will be read down or severed to the extent necessary, and the remaining provisions will continue in full force and effect.
Our failure or delay in enforcing a right does not waive that right. You must not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations in connection with a business restructure, sale, merger, acquisition, transfer of assets or related transaction.
These Terms, together with any additional terms that apply to a particular product or service, constitute the entire agreement between you and QX Web regarding your use of the Platform, except to the extent otherwise agreed in writing.
32. Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia. Subject to any rights you may have under applicable consumer protection laws, the courts of New South Wales and the Commonwealth courts of Australia have non-exclusive jurisdiction over disputes arising in connection with these Terms or the Platform.
